The ROAD FLEX COURIER, LLC website is owned and operated by ROAD FLEX COURIER LLC, carrying on its business activities in New York, United States. These Terms of Service govern your use of this ROAD FLEX COURIER, LLC website services.

1. YOUR ACCEPTANCE OF THESE TERMS OF USE

These Terms of Service hereinafter referred to as “TOS” constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you, user, or client”) and ROAD FLEX COURIER LLC, (“ROAD FLEX, we,” “us” “our, or company”), concerning your access to and use of the services provided at, www.roadflexcourier.com, and any other media form, media channel, related, linked, or otherwise connected thereto (collectively, “the website or site” or ROAD FLEX”). You agree that by accessing the Site, you have read, understood, and agree to be bound by all of these TOS Use.  IF YOU DO NOT AGREE WITH ALL OF THESE TOS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Definitions

• Client/Customer: Any individual or business that engages Road Flex Courier’s services.
• Consignment: Goods collected and delivered as part of a single transport agreement.
• Goods/Packages: Any items or materials transported by Road Flex, whether in boxes, envelopes, or containers.
• Agent/Employee: Any individual authorized by Road Flex Courier to perform deliveries or manage client interactions.

2. YOUR ACCEPTANCE OF OUR PRIVACY POLICY

By agreeing to these TOS, you agree to the terms of our Privacy policy which is expressly incorporated herein. Before using this Site, please carefully review our Privacy Policy. All information provided to us as a result of your use of this Site will be handled in accordance with our Privacy Policy. To the extent there are inconsistencies between these Terms of Use and our Privacy Policy, these Terms of Use control.

3. YOUR CONSENT TO OTHER AGREEMENTS

When you intend to use a special feature of this Site, you may be asked to agree to special terms governing your use of the special feature. In such cases, you may be asked to expressly consent to the special terms, for example, by checking a box or clicking on a button marked “I agree.” This type of agreement is known as a “click-through” agreement. If any of the terms of the click-through agreement are different than the terms of these TOS, the terms of the click-through agreement will supplement or amend these Terms of Use, but only with respect to the matters governed by the “click-through agreement.”

4. ABOUT ROAD FLEX SERVICES

4.1 Overview

ROAD FLEX is a professional courier and messenger service headquartered in New York, committed to providing reliable, time-sensitive, and secure delivery solutions. Our core business involves same-day delivery, special handling of fragile and high-value items, and scheduled logistics support for both individual and commercial clients.

We operate a fleet of trained couriers and dedicated support staff to ensure each consignment is delivered promptly, safely, and in accordance with the client’s instructions and applicable regulatory standards.

4.2 Service Categories

Road Flex offers a range of customizable courier services tailored to different customer needs and delivery urgencies:

• Economy Service: Delivery completed within the same business day with flexible scheduling.

• Regular Service: Delivery within 3–5 hours from pickup within serviceable regions.

• Super Rush Service: Immediate pickup and direct delivery with minimal delays.

• Critical Service: Time-sensitive and high-priority delivery, including urgent documents, medical supplies, and legal filings.

Additional specialized services include:

• White-Glove Handling: For fragile, valuable, or temperature-sensitive items.

• Scheduled Recurring Deliveries: For corporate clients or businesses requiring daily/weekly courier routes.

• On-Demand Pickups: Available during business hours, subject to availability.

4.3 Service Areas

Road Flex Courier provides services across a wide coverage area, with rates and service types tailored accordingly:

• Primary Service Areas (Flat Rate):

Nassau County, Suffolk County, and Queens County

• Extended Service Areas (Premium Rate):

Brooklyn, Bronx, Manhattan, Staten Island, Westchester County, and Rockland County.

We may occasionally service additional areas upon request and subject to specific arrangements or surcharges, including toll fees and mileage adjustments.

4.4 Same-Day Delivery Guarantee

We specialize in same-day delivery and make every reasonable effort to fulfill this commitment. However, delivery timeframes may be affected by external conditions such as traffic congestion, adverse weather, governmental restrictions, or other force majeure events beyond our control. While we strive for punctuality, no absolute guarantee is provided unless explicitly stated in writing within the customer’s service agreement.

4.5 Handling of Fragile and Special Items

Road Flex offers professional handling for fragile, delicate, or sensitive packages, such as:

• Medical specimens
• Legal documents
• Glassware, electronics, or valuables

Clients must disclose such items at the time of booking. Failure to disclose the nature of a fragile consignment may limit our liability in the event of damage.

4.6 Packaging & Labeling Responsibility

Unless otherwise arranged, clients are responsible for properly packaging and labeling all consignments. Road Flex reserves the right to refuse pickup of improperly packed items or apply additional fees for repackaging or labeling if necessary to protect the integrity of the delivery and comply with safety standards.

4.7 Service Limitations

Road Flex Courier, LLC does not transport:

• Hazardous materials or controlled substances

• Cash or cash equivalents over $1,000

• Weapons, firearms, or restricted goods under federal or state law

If a consignment is found to violate this policy, Road Flex may terminate the delivery and notify appropriate authorities, and the client may be liable for damages or penalties.

4.8 Service Hours

Office Hours: Monday – Friday, 10:30 AM – 4:30 PM

Operational Hours:

• Weekdays: 7:30 AM – 10:30 PM

• Weekends: 7:30 AM – 9:30 PM

We may accommodate after-hours deliveries for critical or contracted clients by prior arrangement and at premium rates.

5. USER CONDUCT

• You agree that you will not violate any law, contract, intellectual property or other third party right or commit a tort, and that you are solely responsible for your conduct, while accessing or using the Sites.

• You agree that you will abide by these Terms and will not: Engage in any harassing, threatening, intimidating, predatory or stalking conduct;

• You agree that you will not use the Sites in any manner that could interfere with, disrupt, negatively affect or inhibit other users from fully enjoying the Sites or that could damage, disable, overburden or impair the functioning of the Sites in any manner;

• You agree that you will not do anything that might discover source code or bypass or circumvent measures employed to prevent or limit access to any Content, area or code of the Sites;

• You agree that you will not attempt to circumvent any content-filtering techniques we employ.

• You agree that you will not access any feature or area of the Sites that you are not authorized to access.

• You agree that you will not develop any third-party applications that interact with the Sites without our prior written consent.

• You agree not to use any robot, spider, crawler, scraper, script, browser extension, offline reader or other automated means or interface not authorized by us to access the Sites, extract data or otherwise interfere with or modify the rendering of Site pages or functionality.

• You agree that you will not bypass or ignore instructions contained in the robots.txt file, that controls all automated access to the Sites or Use the Sites for any illegal or unauthorized purpose, or engage in, encourage or promote any activity that violates these Terms.

6. ROAD FLEX’ INTELLECTUAL PROPERTY

Content For purposes of these Terms, "content" is defined as any information, communications, descriptions, photos, videos, graphics, music, sounds, or other materials that can be viewed by users on our Site and is owned by ROAD FLEX COURIER, LLC, our Affiliates or our licensors.

Ownership of Content All content on the Site is subject to intellectual property rights, contractual or other protection. The intellectual property rights are owned by us or our licensors. No content may be copied, distributed, republished, uploaded, posted or transmitted in any way except as provided expressly in these Terms or with ROAD FLEX’s prior express written consent. Any use of the content other than as permitted by these Terms, or any other unauthorized use of the content may make you liable to ROAD FLEX COURIER, LLC or its licensors for violation of intellectual property rights.

Trademarks or service marks of ROAD FLEX include, but are not limited to, ROAD FLEX COURIER, LLC and the ROAD FLEX logo. All custom graphics, icons, logos and service names are registered or common-law trademarks or service marks of ROAD FLEX COURIER, LLC or our Affiliates. All other trademarks or service marks are property of their respective owners. Nothing in these Terms grants you any right to use any trademark, service mark, logo, and/or the name of ROAD FLEX COURIER, LLC, our Affiliates or our licensors.

Site Use ROAD FLEX COURIER, LLC grants you a limited, revocable, nonexclusive license to use the content on the Site solely for your own personal purposes only and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works, or other use. You may not use any content from the Site which is not owned by you for commercial use. You agree not to copy the Site or content located on the Site; to reverse engineer or break into the Site; or to use content, products or services in violation of any law. Any use of the Site or the content contained therein other than as specifically authorized in the Agreement, without the prior written permission of ROAD FLEX COURIER, LLC, is strictly prohibited and will terminate the license granted herein. Unless explicitly stated herein, nothing in the Agreement shall be construed as conferring to you, whether by implication, estoppel or otherwise, any title or ownership of, or exclusive use-rights to, any intellectual property or other right and any goodwill associated therewith. ROAD FLEX COURIER, LLC reserves the right, without notice and in its sole discretion, to terminate your license to use the Site at any time and to block or prevent your future access to, and use of, the Site.

No Warranty for Third-Party Infringement Neither we nor our Affiliates warrant or represent that your use of materials displayed on, or obtained through, this Site will not infringe the rights of other users of the Site or of third parties.

7. PAYMENTS

7.1 General Payment Obligations

All Clients agree to pay Road Flex Courier, LLC. (“Road Flex”) the fees and charges for courier services as set forth in the agreed service quote, invoice, or rate schedule. Fees are determined based on factors including, but not limited to, service tier (Economy, Regular, Super Rush, Critical), delivery distance, parcel weight and size, delivery urgency, handling requirements, toll charges, and vehicle type used.

7.2 Payment Due Date

Unless expressly agreed otherwise in writing, all payments shall be due immediately upon booking confirmation or upon receipt of invoice. Invoices not paid within the agreed payment period shall be considered past due, and Road Flex reserves the right to:

• Suspend or terminate services to the delinquent Client;

• Apply a late fee of 1.5% per month (or the maximum permitted by law) on any outstanding balance;

• Refer the outstanding debt to a collections agency, and the Client shall be liable for all collection costs, court costs, and reasonable legal fees incurred.

7.3 Credit Terms and Account Holders

Credit facilities may be offered exclusively to commercial Clients, subject to an approved credit application and ongoing account review. No credit terms are extended to individual or one-time-use customers. Road Flex reserves the right to revoke credit terms at any time, without notice, for cause or at its sole discretion.

7.4 Additional Charges and Surcharges

Clients may incur additional charges in the following circumstances:

• Toll or Congestion Charges: Delivery routes requiring toll road usage or entry into congestion zones will result in pass-through charges.

• Large Vehicle Surcharge: An additional $25 fee applies when a delivery requires a cargo van or larger vehicle.

• Wait Time Charges: Charges may apply if the courier is delayed at the pick-up or drop-off point beyond the allowable grace period (typically 10 minutes).

• Re-Delivery or Return: If a delivery cannot be completed due to inaccurate information, absence of recipient, or refusal of goods, re-delivery or return to sender will be billed separately.

8. DELIVERY POLICIES AND LIMITATIONS

8.1 Standard and Priority Deliveries

Road Flex offers multiple delivery tiers, including same-day and express options. While every effort is made to deliver within estimated timeframes, delivery times are not guaranteed unless expressly stated in writing. Estimated delivery windows are based on origin, destination, traffic, weather, and operational conditions at the time of booking.

8.2 Delays and Force Majeure

Road Flex shall not be held liable for delays in delivery caused by factors beyond its reasonable control, including but not limited to:

• Severe weather or natural disasters;

• Road closures or traffic congestion;

• Labor strikes, riots, or civil disturbances;

• Equipment failures, vehicle breakdowns, or acts of God;

• Regulatory inspections or law enforcement action;

• Public health emergencies or pandemic-related disruptions.

In such circumstances, Road Flex shall be excused from performance and not deemed in breach of contract. Clients may request redelivery at a later time or cancel the service (where feasible), subject to applicable cancellation terms.

8.3 Weight, Dimension, and Size Limitations

Unless expressly agreed otherwise in advance, Road Flex shall only accept individual packages not exceeding:

• Weight Limit: 100 pounds per package;

• Maximum Dimensions: 48 inches in length or 72 inches in girth (L + 2W + 2H).

Parcels exceeding these limitations must be disclosed at the time of booking and may be subject to refusal or surcharges. Undisclosed oversized items may be delayed, refused, or returned at the sender’s expense.

8.4 Packaging and Client Responsibility

Clients are solely responsible for ensuring that parcels are properly packed, labeled, and secured for transport. Road Flex assumes no liability for damage arising from inadequate, improper, or insufficient packaging. Fragile items must be marked clearly and, where necessary, declared for special handling.

We reserve the right to decline collection of any item that, in our judgment, is not properly packaged or that poses a risk to personnel, equipment, or other consignments.

8.5 Re-Delivery and Refusal of Delivery

In the event that delivery cannot be completed due to incorrect address, recipient refusal, or unavailability, the following options may be offered at the Client’s expense:

• Re-attempted delivery at a later time;

• Return of the parcel to the sender;

• Secure storage for a specified period (fees may apply).

Where no instructions are provided within 24 hours of a failed delivery, Road Flex may return the item to sender or dispose of it in accordance with applicable law.

9. INSURANCE, CLAIMS, AND LIMITED LIABILITY

9.1 Basic Coverage

All shipments transported by Road Flex Courier, LLC. include limited insurance coverage up to $100 USD per consignment, unless otherwise declared in writing and approved in advance. This basic coverage applies only in the event of proven loss, theft, or damage in transit caused by our negligence.

9.2 Declaration of Higher Value

Clients wishing to insure items for a value greater than $100 must declare the value at the time of booking and may be subject to an additional insurance premium. Failure to declare a higher value waives any claim above the standard $100 coverage.

9.3 Filing a Claim

Claims for damage or loss must be submitted in writing at the time of delivery or immediately upon discovery, and in any event within 24 hours of delivery. Claims must include:

• Proof of shipment;

• Itemized value and receipts;

• Photos of packaging and item damage (if applicable);

• Signed proof of delivery (POD).

Claims submitted after this time period or without supporting documentation may be denied.

9.4 Exclusions of Liability

Road Flex shall not be liable for:

• Loss or damage caused by improper packaging or labeling;

• Losses due to inherent defects, deterioration, or fragility of items;

• Consequential damages, including business interruption, lost profits, or indirect losses;

• Items confiscated, delayed, or destroyed by regulatory or governmental authorities.

Additionally, once delivery is completed and signed for, any liability is discharged, and Road Flex shall not be responsible for subsequent issues or disputes.

9.5 Indemnification

The Client agrees to indemnify, defend, and hold harmless Road Flex Courier, LLC., its officers, agents, and employees from and against any and all claims, liabilities, damages, losses, or expenses arising out of or related to:

• Breach of these Terms by the Client;

• Improper, unlawful, or restricted items submitted for delivery;

• Failure to comply with applicable laws or shipping regulations.

10. CANCELLATION AND REFUSAL OF SERVICE

10.1 Client Cancellation

Clients may cancel a booking subject to the following terms:

• Standard Bookings: Cancellations made at least 2 hours prior to the scheduled pick-up time may be eligible for a full or partial refund, at Road Flex’s sole discretion.

• Same-Day or Priority Services: Due to the time-sensitive nature of expedited deliveries, cancellations made within 2 hours of the scheduled pick-up or after a courier has been dispatched will result in the Client being charged the full quoted fee, or a cancellation fee not less than 50% of the original service cost, whichever is greater.

• Recurring or Contracted Clients: Separate cancellation provisions may apply under individual service agreements or corporate contracts.

Clients acknowledge that Road Flex may incur costs, vehicle assignments, and scheduling obligations immediately upon confirmation of an order, and such costs justify the application of cancellation fees.

10.2 Road Flex’s Right to Refuse Service

Road Flex Courier, LLC. reserves the absolute right, in its sole discretion and without liability, to refuse or cancel any service order at any stage of the delivery process if:

1. Non-Compliance with Terms: The Client breaches these Terms of Service or fails to provide accurate and complete information necessary to complete the delivery.

2. Unsafe or Unlawful Deliveries: The item is deemed unsafe, improperly packaged, or prohibited by law (e.g., hazardous substances, weapons, illegal goods, perishable biological samples without clearance, etc.).

3. Non-Payment or History of Non-Payment: The Client has an outstanding balance with Road Flex or has a demonstrated history of late payments or chargebacks.

4. Fraudulent or Misleading Information: The Client provides false, misleading, or incomplete delivery instructions or payment details.

5. Unfit Delivery Conditions: Access to the delivery or pickup location is unsafe, unlawful, or otherwise unreasonable for the courier to complete the service.

In such cases, Road Flex shall notify the Client of the refusal or cancellation. However, we shall not be responsible for any consequential damages, lost profits, or indirect losses arising from the refusal of service.

10.3 No-Shows and Failed Deliveries

If a courier arrives at the pickup or delivery location and is unable to complete the service due to:

• Absence of the Client or recipient;
• Inaccurate or incomplete address information;
• Recipient refusal to accept the package;
• Items not being ready for pickup;

Road Flex reserves the right to charge a “failed delivery fee” equal to the full quoted fee or to apply re-delivery charges, at its discretion.

10.4 Refunds and Credits

Refunds, where applicable, shall be issued only at Road Flex’s discretion and in accordance with this Clause. Road Flex is under no obligation to issue refunds where services have been rendered, where delays occur due to force majeure events (see Clause 8), or where the Client has failed to comply with these Terms.

Refunds may be issued in the form of:

• Credit towards future services, or

• Monetary reimbursement, less applicable cancellation or processing fees.

All refunds or credits will be processed within 10 business days of approval.

10.5 Indemnity for Cancellations

Clients acknowledge and agree to indemnify and hold harmless Road Flex Courier, LLC. against any losses, claims, or liabilities arising from cancellations or refusals of service initiated by the Client, including but not limited to costs incurred for dispatch, vehicle mobilization, or wasted resources.

11. LIMITATION OF LIABILITY

TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL WE, OUR OFFICERS, DIRECTORS, EMPLOYEES, PARENTS, AFFILIATES, SUCCESSORS, ASSIGNS, OR LICENSORS BE LIABLE TO YOU OR ANY OTHER THIRD PARTY FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES OF ANY TYPE INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, LOSS OF BUSINESS PROFITS, LOSS OF DATA OR BUSINESS INFORMATION, LOSS OF ADDITIONAL SOFTWARE OR COMPUTER CONFIGURATIONS OR COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, DAMAGES ARISING IN CONNECTION WITH ANY USE OF ROAD FLEX OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE INSTALLATION, UNINSTALLATION, USE OF OR INABILITY TO USE ROAD FLEX UNDER ANY THEORY OF LIABILITY, INCLUDING BUT NOT LIMITED TO CONTRACT OR TORT (INCLUDING PRODUCTS LIABILITY, STRICT LIABILITY AND NEGLIGENCE), AND WHETHER OR NOT WE WERE OR SHOULD HAVE BEEN AWARE OR ADVISED OF THE POSSIBILITY OF SUCH DAMAGE AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY STATED HEREIN. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, IN NO EVENT SHALL OUR TOTAL LIABILITY (INCLUDING OUR OFFICERS, DIRECTORS, EMPLOYEES, PARENTS, AND AFFILIATES) FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS, TO THE FULLEST EXTENT POSSIBLE UNDER APPLICABLE LAW, EXCEED THE AMOUNT PAID IF ANY, BY YOU FOR THE USE OF ROAD FLEX.

12. INDEMNITY

You agree to defend, indemnify and hold us, our parent corporation, officers, directors, employees and agents, harmless from and against any and all claims, damages, obligations, losses, liabilities, costs and expenses (including but not limited to attorney's fees) arising from: (i) your access to or use of ROAD FLEX; (ii) your violation of these Terms; or (iii) your violation of any third party right, including without limitation, any intellectual property right, or privacy right.

13. GOVERNING LAW AND DISPUTES

This Agreement will be governed by, construed and enforced in accordance with the laws of Quebec, Canada, without regard to its conflicts of law principles or provisions. The parties specifically exclude from application to this Agreement the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act. Any disputes arising out of or in connection with this Agreement shall be exclusively settled under the Rules of Arbitration of the International Chamber of Commerce (the “ICC Rules”) by one arbitrator appointed in accordance with the ICC Rules (the “Arbitrator”). The arbitration shall take place in Quebec, Canada, and shall be conducted in English language. The arbitration shall be conducted on a confidential basis. The award passed by the Arbitrator shall be final and binding on both parties. Nothing contained herein shall prevent either party from applying to any court of law in Quebec in order to obtain injunctions, equitable relief or any equivalent remedy, against the other Party, in order to restrain the breach of any restrictive covenants pursuant to this Agreement. The arbitration award shall be enforceable in any court of competent jurisdiction in Quebec, Canada. Any motion to enforce or vacate an arbitration award under this agreement shall be kept confidential to the maximum extent possible. Accordingly, for any claim that you have with us, you agree, prior to filing any suit or proceeding, to first contact us and attempt to resolve the claim informally by sending us a written notice of your claim (“Notice”). If you and we cannot reach an agreement to resolve the claim within 30 days after the Notice is received, then either party may file a claim in court. Notwithstanding the foregoing, we may seek injunctive relief in any court of competent jurisdiction in Quebec. YOU AGREE THAT ANY CAUSE OF ACTION THAT YOU MAY HAVE ARISING OUT OF OR RELATED TO ROAD FLEX COURIER, LLC OR THESE TERMS MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

14. GENERAL

These Terms of Service shall be governed by and construed in accordance with the laws of the State of New York. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Nassau County, New York. By using our services, you agree to submit to the personal jurisdiction of these courts.
